Affiliate Agreement

  1. Program Overview
    • Description: The main goal of the Kitchen & Love LLC affiliate program is to increase our social media and online presence and reach out to consumers who share our values and beliefs regarding the food we consume.
  1. Compensation Structure
    • Commission Rate: Affiliates will earn a 5% on net sales generated through their unique affiliate discount code on www.kitchenandlove.com. Commission is applied to the value of the products purchased after discounts have been applied, excluding any shipping expenses. 
    • Covered Products:Any product listed in www.kitchenandlove.com under “Kitchen & Love” and “Cucina & Amore” brands.  
    • Payment Schedule:Commissions will be paid monthly, based on the net sales associated with your discount code. We will share the monthly sales data, from our internal system, with you.  
    • Monthly Payout:At the end of each month, the commissions will be calculated and disbursed accordingly.
    • Payment Method:Payments will be made via PayPal or ACH.
  1. Promotion Guidelines
    • Brand Consistency:
      • Affiliates must adhere to Kitchen & Love LLC’s brand guidelines, ensuring all promotional content accurately represents the brand's values, products, and services.
      • All marketing materials, including images, logos, and content, should maintain the integrity and reputation of Kitchen & Love LLC.
    • Content Standards:
      • All promotional content should be professional, respectful, and positive.
      • Affiliates should create original content that is honest and transparent.
      • Misleading or false claims about products are strictly prohibited.
    • Social Media and Online Presence:
      • Affiliates should disclose their affiliate relationship in a clear and conspicuous manner, following FTC guidelines (e.g., “#ad,” “#sponsored”).
      • Avoid using offensive, inappropriate, or controversial content that could harm the brand’s image.
    • Prohibited Practices:
      • No spamming or use of unsolicited commercial emails to promote Kitchen & Love LLC products.
      • No use of paid advertising to bid on keywords containing “Kitchen & Love LLC” or related trademarks.
      • Affiliates may not engage in cookie stuffing, using unauthorized pop-ups, pop-unders, or iframes to insert affiliate cookies.
      • Affiliates must not create websites or social media profiles that could be confused with official Kitchen & Love LLC sites.
    • Compliance:
      • Affiliates must comply with all applicable laws and regulations in their promotional activities.
      • Failure to comply with these guidelines or any applicable laws may result in termination from the affiliate program and forfeiture of outstanding commissions.
    • Use of Discount Codes:
      • Affiliates may use their unique discount codes across various online marketing channels, including email marketing, online advertising, blogging, social media marketing, video marketing, and other digital marketing strategies.
  1. Generating Referrals
    • Referral URL and Discount Code:
      • To earn a commission on a purchase, affiliates must use their unique discount code provided to them.
      • Upon approval, affiliates will receive a unique discount code. This code serves two purposes: 1) it tracks sales referred by the affiliate and 2) it offers a 10% discount to customers. This discount cannot be combined with other ongoing promotions or sales.
    • Permitted Practices:
      • Affiliates are permitted to utilize link cloaking, link tracking, or other redirection methods. However, they should note that some advertising networks or social media platforms may restrict the use of such links.
  1. Registration
    • Application Submission:
      • To join the Kitchen & Love Affiliate program, applicants must complete and submit the program application via our referral partner sign-up form.
    • Review and Approval:
      • Upon submission, applications will be reviewed, and once approved, affiliates will receive confirmation to start promoting their unique discount codes.
    • Accuracy of Information:
      • All information provided in the application must be accurate and truthful. Providing false or misleading information may result in immediate termination from the affiliate program.
    • Communication Consent:
      • By registering for the Kitchen & Love Affiliate program, affiliates consent to receive occasional emails related to the program. We will not share or resell your information, and our Privacy Policy applies.
  1. Duration and Termination
    • Duration:
      • This agreement will be effective from the date of signing and will remain in effect for a period of one year.
      • The agreement will automatically renew for successive one-year terms unless either party provides written notice of termination at least 30 days before the end of the current term.
    • Termination:
      • Either party may terminate this agreement with or without cause by providing 30 days' written notice to the other party.
      • Kitchen & Love LLC reserves the right to terminate the agreement immediately if the affiliate breaches any terms of this agreement or engages in any behavior that could harm the reputation of Kitchen & Love LLC.
      • Upon termination, the affiliate will cease all promotion of Kitchen & Love LLC products and remove all affiliate links from their content.
  1. Intellectual Property
    • License Grant:
      • Kitchen & Love LLC grants the affiliate a non-exclusive, non-transferable, revocable license to use Kitchen & Love LLC’s trademarks, logos, and approved marketing materials solely for the purpose of promoting Kitchen & Love LLC’s products in accordance with this agreement.
    • Usage Guidelines:
      • Affiliates must use Kitchen & Love LLC’s trademarks and logos in a manner that maintains the integrity and reputation of the brand.
      • All promotional materials and content featuring Kitchen & Love LLC’s intellectual property must be pre-approved by Kitchen & Love LLC before publication.
      • Affiliates are prohibited from using Kitchen & Love LLC’s intellectual property in any manner that suggests or implies a false association or endorsement.
    • Ownership:
      • All intellectual property, including trademarks, logos, and marketing materials, remain the exclusive property of Kitchen & Love LLC.
      • Affiliates acknowledge that they do not acquire any rights, title, or interest in Kitchen & Love LLC’s intellectual property beyond the limited license granted under this agreement.
    • Termination of License:
      • Upon termination of this agreement, the affiliate’s license to use Kitchen & Love LLC’s intellectual property will immediately cease.
      • The affiliate must promptly remove all references to Kitchen & Love LLC’s intellectual property from their content.
  1. Confidentiality
    • Definition of Confidential Information:
      • "Confidential Information" refers to any non-public information disclosed by Kitchen & Love LLC to the affiliate, either directly or indirectly, in writing, orally, or by inspection of tangible objects. This includes, but is not limited to, business plans, customer data, financial information, marketing strategies, and product details.
    • Obligations:
      • The affiliate agrees to keep all Confidential Information strictly confidential and not to disclose it to any third party without the prior written consent of Kitchen & Love LLC.
      • The affiliate agrees to use the Confidential Information solely for the purposes of fulfilling their obligations under this agreement.
    • Exclusions:
      • Confidential Information does not include information that:
      • Is or becomes publicly known through no breach of this agreement by the affiliate.
      • Is received from a third party without breach of any obligation of confidentiality.
      • Is independently developed by the affiliate without use of or reference to the Confidential Information.
    • Return of Materials:
      • Upon termination of this agreement, the affiliate agrees to return or destroy all Confidential Information and any copies thereof, upon request from Kitchen & Love LLC.
    • Duration:
      • The confidentiality obligations of the affiliate will remain in effect for a period of two years after the termination of this agreement.
  1. Canceling Accounts
    • Right to Suspend or Delete Accounts:
      • Kitchen & Love LLC reserves the right to suspend or delete an affiliate account at our discretion.
    • Dormant Accounts:
      • Any affiliate accounts that have not made any referrals within a 60-day period and have no outstanding commission to be paid may be designated as dormant. Kitchen & Love LLC reserves the right to delete accounts that have been found to be dormant.
    • Affiliate-Initiated Account Closure:
      • If an affiliate wishes to close their affiliate account directly or has any other questions, they should contact Kitchen & Love LLC via email at laila@intldelicacies.com.
  1. Changes to Terms & Conditions
    • Kitchen & Love LLC reserves the right to modify the terms and conditions of this affiliate program at any time. Affiliates will be notified of any changes. If affiliates do not agree with the updated terms, they may terminate their participation in the program. Continuing to participate in the program after receiving notification of the changes will be considered acceptance of the new terms.
